Course Overview: A study of the elements of contracts, including offer and acceptance, consideration, promissory estoppel, restitution, principles of interpretation, the parol evidence rule and the statute of frauds. The impact of the Uniform Commercial Code on contracts is considered.

Course Format: Lecture/discussion
Written Assignments: I reserve the right to assign homework problems, to ask for written responses to questions posed in the text or in class and to request students to submit answers to homework assignments on a periodic basis.
Type of Exam: One or more exams during the semester, as announced, and a final exam.
Basis for Grading Student Performance: Grades will be based on a student's performance on exams, homework assignments, and written responses to problems posed in class. I view class participation and attendance as extremely important. Points will be added to or subtracted from a student's final grade based on attendance and the quality of class participation.
