Course Overview: This is a continuation of Contracts I. The topics to be covered will include avoiding enforcement of contracts due to incapacity, bargaining misconduct, unconscionability & public policy; justifications for nonperformance of contracts such as mistake, changed circumstances, and contractual modifications; consequences of nonperformance, including express conditions, material breach, and anticipatory repudiation; expectation damages; and alternatives to expectation damages.

Course Format: Lecture/discussion
Written Assignments: Weekly quiz and short assignments.
Type of Exam: 2-hour closed book essay/multiple choice.
Basis for Grading Student Performance: 50% final, 40% quizzes and short assignment; 10% class participation.
