ELECTRONIC END USER LICENSE AGREEMENT FOR
INTEGRATED ENVIRONMENTAL CONTROL MODEL ("IECM") AND
INTEGRATED ENVIRONMENTAL CONTROL MODEL INTERFACE ("IECM Interface")

NOTICE TO USER:
THIS IS A CONTRACT.  BY INSTALLING THIS SOFTWARE YOU ACCEPT ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT.

This University of Wyoming ("UW") End User License Agreement accompanies the IECM product and related explanatory materials ("Software").  The term "Software" also shall include any upgrades, modified versions or updates of the Software licensed to you by UW.  Please read this Agreement carefully.  By accepting the installation of the software you accept this Agreement. By declining the installation of the software you deny this agreement.

Upon your acceptance of this Agreement, UW grants to you a nonexclusive license to use the Software, provided that you agree to the following:

1.  Use of the Software.
  (a) You may install the Software on a hard disk or other storage device; install and use the Software on a file server for use on a network for the purposes of (i) permanent installation onto hard disks or other storage devices or (ii) use of the Software over such network; and make backup copies of the Software. You may install copies of the Software on an unlimited number of computers provided that you are the only individual using the Software. You may make an unlimited number of copies of any electronic documents included with the Software, provided that such copies shall be used for internal purposes and are not republished or distributed beyond your premises.

  (b) If specific written permission is granted from UW, you may make and distribute unlimited copies of the Software as long as each copy that you make and distribute contains this Agreement, the IECM installer, and the same copyright and other proprietary notices pertaining to this Software that appear in the Software.  If you download the Software from the Internet or similar on-line source, you must include the UW copyright notice for the Software with any on-line distribution and on any media you distribute that includes the Software.

  (c) UW grants to the US Department of Energy ("DoE") a non-exclusive and non-transferable license to use and distribute unlimited copies of  the Software on or in conjunction with computer systems operated by DoE at DoE, for internal use only.

2.  Copyright and Trademark Rights.  The Software is owned by UW, and its structure, organization and code are the valuable trade secrets of UW. United States Copyright Law and International Treaty provisions protect the Software. This Agreement does not grant you any intellectual property rights in the Software.

3.  Restrictions.  You agree not to modify, adapt, translate, reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Software. You may not alter or modify in any way the installer program or create a new installer for the Software.  The Software is licensed and distributed by UW.

4.  No Warranty.  The Software is being delivered to you AS IS and UW makes no warranty as to its use or performance. The Software was prepared by UW as an account of work sponsored or cosponsored by the Federal Energy Technology Center of DoE. NEITHER DOE, ANY MEMBER OF DOE, UW, ANY MEMBER OF UW, ANY COSPONSOR, NOR ANY PERSON ACTING ON BEHALF OF THEM:

  (a) MAKES ANY WARRANTY OR REPRESENTATION WHATSOEVER, EXPRESS OR IMPLIED, (I) WITH RESPECT TO THE USE OF ANY INFORMATION, APPARATUS, METHOD, PROCESS, OR SIMILAR ITEM DISCLOSED IN THIS REPORT, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, OR (II) THAT SUCH USE DOES NOT INFRINGE ON OR INTERFERE WITH PRIVATELY OWNED RIGHTS, INCLUDING ANY PARTY'S INTELLECTUAL PROPERTY, OR (III) THAT THIS REPORT IS SUITABLE TO ANY PARTICULAR USER'S CIRCUMSTANCE; OR

  (b) ASSUMES RESPONSIBILITY FOR ANY DAMAGES OR OTHER LIABILITY WHATSOEVER (INCLUDING ANY CONSEQUENTIAL DAMAGES, EVEN IF UW, ANY UW REPRESENTATIVE, DOE, OR ANY DOE REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) RESULTING FROM YOUR SELECTION OR USE OF THIS REPORT OR ANY INFORMATION, APPARATUS, METHOD, PROCESS, OR SIMILAR ITEM DISCLOSED IN THIS REPORT.

5. Governing Law and General Provisions.  The laws of the State of Wyoming, U.S.A., excluding the application of its conflicts of law rules, will govern this Agreement.  This Agreement will not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded.  If any part of this Agreement is found void and unenforceable, it will not affect the validity of the balance of the Agreement, which shall remain valid and enforceable according to its terms.  You agree that the Software will not be shipped, transferred or exported into any country or used in any manner prohibited by the United States Export Administration Act or any other export laws, restrictions or regulations.  This Agreement shall automatically terminate upon failure by you to comply with its terms.

6. Notice to Government End Users. The Software is provided with restrictive rights. Use, reproduction, or disclosure is subject to restrictions as set forth in FAR clause 52.227-14 (Rights in Data-General) and restrictions set forth in the accompanying end user agreement.

7. Miscellaneous. All title and copyrights in and to the Software (including but not limited to any images, text, and "applets" incorporated into the Software), the accompanying printed materials, and any copies of the Software are owned by UW and listed below. The Software is protected by copyright laws and international treaty provisions.
